Terms

Terms of Service

Effective from October 22, 2026

These Terms of Service govern the use of the Goran cloud application provided by HAVIT, s.r.o. They apply to the free trial and to paid subscriptions, whether ordered through the Goran website (goran.cz, goran.eu) or directly from us.

1. Who provides the service and who it is for

The service is provided by HAVIT, s.r.o., Company ID 25612697, VAT ID CZ25612697, registered office Budějovická 778/3a, 140 00 Prague 4 – Pankrác, Czech Republic, registered in the Commercial Register kept by the Municipal Court in Prague, Section C, Insert 54808 ("HAVIT", "we" or "us"). You can reach us at info@havit.cz or by phone at +420 222 746 060.

Goran is intended for companies and other businesses (the "customer"). You order the service as part of your business activity, so consumer protection provisions do not apply to the contract.

If you have signed an individual contract with HAVIT, it takes precedence over these terms. These terms then apply to anything the individual contract does not cover.

2. Definitions

  • Service – the Goran application provided as a cloud service (SaaS), including its updates and support.
  • User – a person the customer has given access to its Goran instance.
  • Active user – a user who is set as active in the application, regardless of whether or how often they sign in to the service.
  • Customer data – all data the customer or its users enter into or import into the service.

3. Free trial

You can try Goran free of charge for 14 days, with no credit card and with access to all features. The trial ends by itself after 14 days and nothing is charged automatically. If you want to continue, we will arrange the move to a paid subscription with you and keep your trial data. Otherwise we delete the trial instance, including its data, within 30 days after the trial ends.

The trial is provided as is, without any availability commitment and without support beyond regular help with getting started.

4. Entering into the contract

The service contract is concluded when we confirm your order of a paid subscription (by e-mail or by signing a contract), and at the latest when you start using the service as a paid service after the trial ends. By ordering, you confirm that you have read and agree to these terms.

5. Price and payment

  • Prices follow the current price list at www.goran.eu/pricing, unless a quote or an individual contract states otherwise. Prices exclude VAT.
  • We invoice monthly, after the end of each calendar month, based on the number of active users. Invoices are payable within 14 days.
  • If an invoice is more than 30 days overdue and remains unpaid after our reminder, we may restrict access to the service until it is paid. Your data is kept in the meantime.
  • We may change the price; we will notify you at least 30 days in advance and the change takes effect from the first calendar month after that period.

6. Term and termination

  • The contract is concluded for an indefinite period.
  • You can cancel your subscription at any time by e-mail to info@havit.cz. The cancellation takes effect at the end of the calendar month in which we receive it; active users for that month are still invoiced.
  • We may terminate the contract with 3 months' notice.
  • Either party may terminate the contract with immediate effect if the other party materially breaches it and fails to remedy the breach within 15 days of written notice. An invoice more than 60 days overdue is also a material breach.

7. Service operation and support

We operate the service around the clock and aim for the highest possible availability. Planned maintenance is preferably done outside regular business hours and announced in advance. A guaranteed availability (SLA) is offered only under an individual contract.

We continuously develop and update Goran. We may change and improve features; however, we will not remove or significantly limit essential features the customer uses without prior notice.

Support is available on business days during standard business hours (Central European Time) by e-mail and phone.

8. Users and acceptable use

Users sign in to Goran through the customer's Microsoft Entra ID (Microsoft 365). The customer decides who has access to its instance and with which permissions, and is responsible for the conduct of its users.

You must not use the service to:

  • store or distribute content that breaks the law or infringes the rights of others,
  • disrupt the security or operation of the service, circumvent its security, or load it beyond regular use (e.g. load testing without our agreement),
  • make the service available to third parties outside your organisation or resell it,
  • copy, modify or reverse engineer the software of the service, except where the law allows it.

In case of a serious breach of these rules we may suspend access for the user or customer concerned.

9. Customer data

  • Customer data belongs to the customer. We use it only to provide, support and secure the service, and for no other purpose.
  • We process personal data contained in customer data as a processor on the customer's instructions. The terms of processing are set out in a data processing agreement that forms part of the service contract. See our Privacy Statement for more.
  • We back up data regularly so that we can restore it after an outage or an error.
  • After the contract ends, we will provide an export of your data in a common machine-readable format on request within 30 days. We delete the data, including backups, no later than 90 days after the contract ends, unless the law requires us to keep it.

10. AI assistants and connected services

Goran can make data available to AI assistants (such as Claude) through the Model Context Protocol (MCP) and connect to other systems (such as Microsoft 365, Azure DevOps or an accounting system). An AI assistant acts in Goran on behalf of the signed-in user and with the same permissions the user has; it can therefore also change data.

  • Connections are turned on by the customer or the user, who is responsible for choosing the provider and for what the assistant does in Goran.
  • Answers and suggestions from AI assistants may be inaccurate. Check them before relying on them for important decisions.
  • Third-party services (AI assistants, Microsoft 365, accounting systems etc.) are governed by their providers' terms. We are not responsible for their availability, operation or how they process data.

11. Intellectual property

Goran, its software, design and documentation are the intellectual property of HAVIT. For the term of the contract you receive a non-exclusive, non-transferable right to use the service for the needs of your organisation. We may freely use any feedback and suggestions you send us when developing Goran.

12. Liability

  • We are liable for damage we cause by breaching the contract.
  • We are not liable for lost profit, indirect or consequential damage, or damage caused by improper use of the service, by the conduct of users or by outages of third-party services.
  • In case of data loss or corruption, our obligation is to restore the data from the latest available backup.
  • Our total liability is limited to the amount the customer paid us for the service in the 12 months before the event that caused the damage.
  • These limitations do not apply to damage caused intentionally or by gross negligence, or in other cases where the law does not allow them.

13. Confidentiality

Both parties keep confidential any confidential information of the other party they learn in connection with the contract and use it only to perform the contract. This obligation survives the end of the contract.

14. Changes to these terms

We may change these terms, for example when we add a new feature or when legislation changes. We will notify you by e-mail or in the application at least 30 days before the change takes effect. If you do not agree with the change, you may terminate the contract without penalty before the change takes effect. If you continue to use the service after the change takes effect, you agree to it.

15. Final provisions

  • The contract is governed by the laws of the Czech Republic, in particular Act No. 89/2012 Coll., the Civil Code. The UN Convention on Contracts for the International Sale of Goods does not apply.
  • Disputes will be decided by the courts of the Czech Republic having local jurisdiction according to HAVIT's registered office.
  • We communicate primarily by e-mail; e-mail is considered written form.
  • If any provision proves invalid, the remaining provisions remain in force.
  • These terms are issued in Czech and English. In case of any discrepancy, the Czech version prevails.
